1. ACCEPTANCE OF TERMS

By accessing or using T-Shirt Box ("Service"), operated by Smartum Tech LLC ("Company," "we," "us," or "our"), you ("Customer," "you," or "your") agree to be bound by these Terms of Service ("Terms"). If you do not agree to these Terms, do not use the Service.

2. DESCRIPTION OF SERVICE

T-Shirt Box is a monthly subscription service that provides access to premium, print-ready t-shirt designs created specifically for t-shirt business owners. Our Service includes:

• Monthly delivery of professional t-shirt designs based on selected themes
• Commercial usage rights for all designs with unlimited sales potential
• Voting privileges for future design themes based on subscription plan
• Access to design library during active subscription
• Customer support and design assistance

3. SUBSCRIPTION PLANS AND BILLING

3.1 Available Plans

Starter Plan:

• 100 premium designs monthly (1 theme)
• 1 vote for next month's theme
• Monthly: $29.00 per month
• Annual: $290.00 per year (equivalent to 10 months, save 2 months)

Growth Plan:

• 200 premium designs monthly (2 themes)
• 2 votes for next month's themes
• Monthly: $52.00 per month
• Annual: $520.00 per year (equivalent to 10 months, save 2 months)

Premium Plan:

• 300 premium designs monthly (3 themes)
• 3 votes for next month's themes
• Priority support and extended voting capabilities
• Monthly: $74.00 per month
• Annual: $740.00 per year (equivalent to 10 months, save 2 months)

3.2 Billing and Payment

• Subscriptions automatically renew unless cancelled
• Payment charged in advance on recurring basis
• Annual subscriptions billed once yearly in advance
• We accept major credit cards and PayPal
• All fees are non-refundable except as required by law
• Prices may change with 30 days advance notice

3.3 Free Sample Designs

• New visitors may receive 30 designs from 3 different themes
• Sample designs include full commercial license
• Use them in your store immediately
• No restrictions on sales or usage

4. DESIGN LICENSING AND USAGE RIGHTS

4.1 Commercial License

Upon payment, you receive a perpetual, non-exclusive, worldwide, royalty-free license to use the designs for:

• Commercial products (t-shirts, apparel, merchandise)
• Print-on-demand services
• Physical and digital product sales
• Marketing and promotional materials
• Unlimited sales volume with no royalty payments

4.2 Rights Retained After Cancellation

• You retain full commercial rights to all designs accessed during active subscription
• Rights continue indefinitely, even after subscription cancellation
• No time limitations on commercial usage
• No sales volume restrictions

4.3 Restrictions

You may NOT:

• Resell, redistribute, or sublicense the original design files
• Share login credentials or design files with unauthorized parties
• Use designs for defamatory, illegal, or harmful purposes
• Claim original authorship or register designs as your trademarks
• Create competing design subscription services using our designs

4.4 Modification Rights

• Full freedom to modify, customize, or adapt designs
• Right to incorporate designs into larger creative works
• Permission to create derivative works based on designs
• Editable file formats provided for customization

5. DESIGN THEMES AND VOTING

5.1 Theme Selection Process

• Each plan includes specific number of votes for future themes
• Voting occurs monthly for following month's design themes
• Popular themes selected based on subscriber voting
• Company reserves right to select themes based on trends and feasibility

5.2 Design Delivery

• Designs delivered at beginning of each month
• All designs are high-resolution and print-ready

6. CANCELLATION AND REFUNDS

6.1 Cancellation Rights

• Cancel subscription anytime through account dashboard
• Cancellation effective at end of current billing period
• Access to designs continues until subscription expires
• Annual subscribers retain access for full paid year

6.2 Refund Policy

• 30-day money-back guarantee for first-time subscribers
• Refunds available if no designs have been downloaded
• No partial refunds for unused portions of billing periods
• Annual subscriptions: pro-rated refunds within first 30 days only

7. QUALITY ASSURANCE AND COPYRIGHT

7.1 Design Quality

• All designs professionally curated and quality-verified
• Print-ready files with appropriate resolution and formatting
• Color-corrected for optimal printing results
• Multiple file formats provided for different printing needs

7.2 Copyright Compliance

• All designs verified to be free of copyright infringement
• Original creations and properly licensed content only
• Legal clearance for commercial use provided
• Indemnification for copyright-related issues (see Section 10)

8. ACCOUNT RESPONSIBILITIES

8.1 Account Security

• Maintain confidentiality of login credentials
• Notify us immediately of unauthorized account access
• Responsible for all activity under your account
• One subscription per business entity

8.2 Accurate Information

• Provide accurate billing and contact information
• Update information promptly when changes occur
• Business verification may be required for certain plans
• False information may result in account suspension

9. PROHIBITED USES

You may not use the Service to:

• Violate any applicable laws or regulations
• Infringe third-party intellectual property rights
• Create offensive, defamatory, or harmful content
• Attempt to reverse-engineer or copy our design creation process
• Use automated systems to download or access designs
• Share account access with multiple users (unless authorized)

10. INDEMNIFICATION AND COPYRIGHT PROTECTION

10.1 Company Indemnification

We agree to indemnify and hold you harmless from copyright infringement claims related to:

• Designs provided through our Service
• Proper commercial use as outlined in these Terms
• Copyright verification failures on our part

10.2 Customer Indemnification

You agree to indemnify Company from claims arising from:

• Your modification or combination of designs with third-party content
• Your use of designs outside the scope of granted rights
• Your violation of these Terms
• Your business practices unrelated to our designs

11. DISCLAIMERS AND LIMITATIONS

11.1 Service Availability

• Service provided "as is" with reasonable uptime expectations
• Scheduled maintenance may temporarily limit access
• Force majeure events may affect service delivery
• Alternative access methods provided during outages

11.2 Design Performance

• No guarantee of sales success with provided designs
• Market performance depends on multiple factors beyond design quality
• Design trends and customer preferences may vary
• Success metrics vary by business model and market

11.3 Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW:

• Total liability limited to amounts paid in the last 12 months
• No liability for indirect, incidental, or consequential damages
• No liability for lost profits or business opportunities
• Some jurisdictions may not allow these limitations

12. INTERNATIONAL TERMS

12.1 European Union Users

• Right of withdrawal: 14 days from subscription start
• GDPR rights apply as detailed in Privacy Policy
• VAT added to subscription price where applicable
• Consumer protection laws of member states apply

12.2 United Kingdom Users

• Consumer Rights Act 2015 protections apply
• 14-day cancellation right for digital content
• Right to refund if service not as described
• Distance selling regulations compliance

12.3 Canadian Users

• Consumer protection laws of applicable province govern
• Prices displayed in local currency where possible
• French language support available for Quebec residents

13. MODIFICATIONS AND UPDATES

14. TERMINATION

• Access continues until end of current billing period
• Downloaded designs remain licensed for commercial use
• Account data retained for 30 days after cancellation

14.2 Termination by Company

We may terminate accounts for:

• Material violation of these Terms
• Fraudulent activity or payment disputes
• Misuse of designs or sharing credentials
• Extended account inactivity (12+ months)

15. GOVERNING LAW AND DISPUTES

15.1 Governing Law

These Terms are governed by the laws of the State of Wyoming, United States, without regard to conflict of law principles.

15.2 Jurisdiction and Venue

Any legal action or proceeding relating to these Terms shall be brought exclusively in the state or federal courts located in Wyoming, and you hereby consent to the jurisdiction of such courts.

15.3 Dispute Resolution

• Good faith negotiations attempted first
• Binding arbitration for disputes over $10,000
• Small claims court available for qualifying disputes
• Class action waiver where legally permissible
